    4. SMS/Text Messaging Terms (A2P Compliance)

    Pentallion Systems Inc. ("Pentallion") provides AI receptionist and business automation services. If you choose to opt in to SMS on our web forms, you may receive marketing and/or non-marketing text messages based on the consent options you selected.

    • Consent Method: Where both message categories are offered, marketing and non-marketing SMS consent are collected with separate optional checkboxes.
    • Message Types: Marketing messages can include promotions, offers, and campaign updates. Non-marketing messages can include appointment reminders, account notices, and service coordination updates.
    • Age Requirement: You must be 18 years of age or older to opt in to and receive SMS communications from Pentallion Systems Inc.
    • Consent: SMS consent is optional and is not a condition of purchase.

    5. Third-Party Software, White-Labelled Applications, and Services

    IMPORTANT - PLEASE READ CAREFULLY:

    Our services are facilitated through third-party software platforms, white-labelled applications, tools, and service providers. Pentallion Systems Inc. acts as a service provider and integrator of these third-party solutions. The web application and platform you access through our services is a white-labelled third-party application that we do not own, develop, or control.

    YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

    • Pentallion Systems Inc. is not the developer, owner, or operator of the underlying third-party software platforms or white-labelled applications used to deliver services
    • We are not liable for any damages, losses, data breaches, service interruptions, downtime, errors, bugs, security vulnerabilities, or any other issues arising from the third-party software, white-labelled applications, or services
    • Third-party services and white-labelled applications are subject to their own terms of service and privacy policies, which you agree to by using our services
    • We make no warranties or representations regarding the performance, security, availability, reliability, or functionality of third-party software or white-labelled applications
    • Any claims, disputes, or damages related to third-party software or white-labelled applications must be directed to the respective third-party provider
    • You release and hold harmless Pentallion Systems Inc. from any and all claims arising from your use of third-party or white-labelled platforms

    6. Disclaimer of Warranties

    The materials and services are provided on an "AS IS" and "AS AVAILABLE" basis. Pentallion Systems Inc. makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation:

    • Implied warranties or conditions of merchantability
    • Fitness for a particular purpose
    • Non-infringement of intellectual property or other violation of rights
    • Accuracy, likely results, or reliability of the materials

    We do not warrant that the services will be uninterrupted, error-free, or free of viruses or other harmful components.

    7. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

    In no event shall Pentallion Systems Inc., its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

    • Loss of profits, data, use, goodwill, or other intangible losses
    • Damages resulting from unauthorized access to or use of our services
    • Damages resulting from any third-party content or services
    • Damages resulting from interruption or cessation of services
    • Damages resulting from bugs, viruses, or other harmful code transmitted through our services

    Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

    8. Indemnification

    You agree to defend, indemnify, and hold harmless Pentallion Systems Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services.

    9. Payment Terms

    You agree to pay all fees associated with your selected plan. Setup fees are due upon commencement of services. Monthly subscription fees begin 30 days after the initial setup fee payment and are billed in advance on a recurring basis. Email, SMS, and AI usage credits are billed separately based on actual usage. Re-activation Fee: The setup fee is a one-time payment for the initial configuration of your account. However, in the event of subscription cancellation or termination, any subsequent re-activation of services will require payment of the then-current one-time setup fee again. Service Agreement: By subscribing to our services, you agree to enter into a binding service agreement. This is to ensure compliance with data protection laws and to define liability regarding independent AI usage. There is no minimum contract length for the monthly subscription itself, but the service agreement must be signed and active for services to be rendered.

    10. Refund Policy

    You may ask for a refund at any time for an order that is incomplete. An incomplete order is one where work has not yet commenced. Once work has begun, setup fees are non-refundable. Monthly subscription fees are non-refundable but service will continue until the end of your billing period.

    11. Intellectual Property and Content Retention

    During an active subscription and upon full payment, you have access to your website content and custom designs created specifically for you. We retain rights to our proprietary systems, templates, automation frameworks, and any third-party software or tools used in delivering services.

    IMPORTANT - CANCELLATION AND DATA DELETION:

    Upon cancellation or termination of your subscription, all content, data, designs, automations, and materials associated with your account will be permanently deleted from our platform and third-party systems. You acknowledge and agree that:

    • You lose all rights to access, use, or retrieve any content upon cancellation
    • It is your sole responsibility to export or backup any content you wish to retain before cancellation
    • We are not obligated to retain, transfer, or provide copies of any content after cancellation
    • Pentallion Systems Inc. shall not be liable for any loss of data or content resulting from cancellation

    12. External Links

    We have not reviewed all of the sites linked to our website and are not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by us of the site. Use of any such linked website is at your own risk.

    13. Modifications to Terms

    We may revise these terms of service at any time without notice. By using this website, you are agreeing to be bound by the then current version of these terms of service.

    14. Governing Law

    These terms and conditions are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and you irrevocably submit to the exclusive jurisdiction of the courts in that Province.

    15. Severability

    If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

    16. Earnings and Facebook Disclaimer

    As with any business, your results may vary based on your individual capacity, experience, expertise, and level of desire. Pentallion Systems Inc. makes no guarantees about the level of success you may achieve. Testimonials and examples used are exceptional results and not typical. Individual success depends on background, dedication, desire, and motivation.

    Past earnings examples are not guarantees of future results. There are unknown risks in business and on the internet that can reduce results. Pentallion Systems Inc. is not responsible for your actions.

    Use of our information, products, and services should be based on your own due diligence. You agree that Pentallion Systems Inc. is not liable for any success or failure related to your use of our information, products, and services.
